Where there might be issues that stakeholders might perceive as challenging the independence of non executive directors, companies should disclose why those issues are not significant and do not impinge on the governance role of the non executive directors.

The Governing Council,

Their members kowtow to CEOs, do not examine management decisions closely, and, with very few exceptions, rubber stamp compensation requests.

A clear distinction should be made between remuneration mechanisms for executive directors and non executive directors.

While this recommendation is addressed to the executive heads of UNDG organizations, CEB members note that the issue of country level simplification and harmonization has been the subject of decisions by CEB itself.

CEB members suggest that this recommendation should be re examined and clarified.

The Bank was also developing an Indigenous Peoples Guidebook and solicited comments in the process of its development.

Reiterates its request to the Secretary General and the executive heads of the funds and programmes of the United Nations to examine governance principles and to report thereon to the General Assembly at its sixty first session, through the respective governing bodies of the funds and programmes of the United Nations

The President of the Council made an observation and the Secretary of CEB and the Chairman of the High level Committee on Programmes of CEB made concluding remarks.

It is not unthinkable that management will simply ignore the boards.

CEB members suggest a closer review of this recommendation.

In order to ensure the safety and security of offices away from Headquarters, the Department was liaising with the relevant directors general and executive secretaries.

The group took the view that the composition of the board should be disclosed, in particular the balance of executive and non executive directors and whether any of the non executives have any affiliations (direct or indirect) with the company.

10. Agrees further with the comments of the Chief Executives Board for Coordination on recommendation 7 of the Unit

CEB members offered no specific comments on this recommendation.

The fall 2005 session of CEB also endorsed the accord.

The capacity of the CEB secretariat will continue to be augmented through the secondment of staff from member organizations.

CEB members strongly support this recommendation.

13. Takes note of recommendations 11 to 13 of the Unit and the related comments of the Chief Executives Board for Coordination.

The report of the Panel, its recommendations and the comments of CEB thereon remain under consideration by the General Assembly.

If further coordination is needed, this can be brought to the IAPWG for consideration. The CEB members also stress the importance of retaining the informal nature of networking to continue the free flow of ideas between the relevant actors of IAPWG and the procurement practitioners.

The United Nations System Chief Executives Board for Coordination would continue working to ensure that all staff members were covered by the policy, but any expansion of coverage might have financial implications.

The Unit undertook the preparations for the Executive Director's participation in the United Nations System Chief Executives Board for Coordination (CEB).

According to Iraq, claims for interim loss of non commercial resources have no basis in Security Council resolution 687 (1991) or Governing Council decision 7.

The Narayan Murty Committee Report in India, for instance, makes a clear distinction between non executive and independent directors.

The Governing Council has entrusted three tasks to the Panel.

Members of the Governing Council are eligible for immediate re election.

Based on this review, the Panel submitted reports and, as appropriate, recommendations to the Governing Council on work undertaken on the projects and expenditures of the funds awarded for the projects.

(b) Note by the Secretary General transmitting his comments and those of the United Nations System Chief Executives Board for Coordination on the reports of the Joint Inspection Unit entitled Managing for results in the United Nations system (A 59 617 Add.1).

The matter remains on the Council's agenda and will be the subject of informal meetings of the Working Group prior to the next session.

The Institute was advised by the Governing Board to explore means of mobilizing further support for its programmes from non traditional sources, such as the private sector.

At the 12th meeting, on 19 October, introductory statements were made by the Director of the Secretariat of the United Nations System Chief Executives Board for Coordination and a representative of the Secretariat of the United Nations System Chief Executives Board for Coordination (see A C.2 60 SR.12).
